CountRetail Master Terms of Service
These Master Terms of Service, together with any order form, data processing addendum, messaging terms, acceptable use policy, AI features addendum, and other documents incorporated by reference, govern access to and use of the CountRetail services by the retailer, agency, or other customer identified in an order form or account registration.
"CountRetail" means Jewelry Sales Academy LLC d/b/a CountRetail, and its affiliates where applicable. "Services" means the CountRetail dashboard, Vision AI traffic analytics, marketing attribution, POS and sales reporting, inventory signals, buyer budget tools, diamond reporting, AI assistance, webchat, integrations, and related services.
1. Accounts and Authorized Users
Customer is responsible for all activity under its account, including activity by employees, contractors, administrators, consultants, agents, agencies, and other users invited or enabled by Customer. Customer is responsible for selecting users, assigning appropriate permissions, maintaining accurate account and billing information, protecting credentials and connected systems, and promptly disabling access for former personnel.
2. Customer Data
"Customer Data" means data, content, records, files, images, communications, POS data, traffic data, camera-feed analytics, product data, customer data, campaign data, invoice data, budget data, and other information submitted to, imported into, synced with, generated through, or made available to the Services by or on behalf of Customer.
As between the parties, Customer owns Customer Data. Customer grants CountRetail and its service providers a limited license to host, copy, process, transmit, display, transform, analyze, and otherwise use Customer Data as necessary or appropriate to provide, secure, support, and improve the Services; configure integrations selected by Customer; provide analytics, AI, reporting, support, and dashboard functionality; prevent fraud, abuse, and security incidents; comply with law and legal process; and create aggregated or de-identified data.
3. Customer Responsibilities
Customer represents that it has all rights, permissions, notices, consents, and legal bases required to provide Customer Data to CountRetail and to authorize CountRetail to process it. Customer is responsible for the accuracy, legality, quality, integrity, and appropriateness of Customer Data; for maintaining rights to connected POS, camera, marketing, CRM, invoice, and other systems; and for validating dashboards, reports, automations, AI outputs, and business decisions before relying on them.
Customer must not submit social security numbers, full payment card numbers, CVV codes, bank account or routing numbers, consumer credit reports, protected health information, government identification numbers, biometric templates, account passwords, children's data, or other highly sensitive or specially regulated information unless CountRetail has expressly authorized that processing in writing.
4. Vision AI, Feeds, and Store Analytics
The Services may process video feeds, snapshots, telemetry, or derived analytics to provide traffic counts, zone analytics, dwell time, occupancy, feed-health reporting, and other store-performance insights. CountRetail is not a physical security, surveillance, emergency response, loss-prevention, or public-safety system. Customer is responsible for camera placement, signage, notices, employee and customer privacy obligations, local network security, store policies, and compliance with applicable laws.
5. AI and Predictive Features
The Services may include AI-assisted and predictive features, including plain-English analytics, product-fit analysis, predicted days to sell, aging risk, invoice and photo analysis, marketing summaries, buyer-budget suggestions, trend insights, and generated reports. AI outputs are assistive tools only and may be inaccurate, incomplete, or unsuitable for a particular use. Customer is responsible for human review and business judgment before using AI outputs.
6. Third-Party Services and Integrations
The Services may interoperate with third-party services, including POS systems, cloud providers, camera and networking vendors, messaging providers, CRM platforms, advertising platforms, analytics services, AI providers, and payment processors. Customer authorizes CountRetail to access, transmit, receive, store, and process Customer Data through third-party services and subprocessors as necessary to provide the Services. CountRetail is not responsible for third-party outages, API changes, inaccurate source data, permission failures, vendor restrictions, or third-party security incidents except to the extent caused by CountRetail's breach of its express obligations.
7. Fees and Billing
Customer will pay all fees described in the applicable order form, checkout flow, or subscription agreement. Fees are non-refundable except as expressly stated in writing or required by law. Customer is responsible for taxes, messaging fees, AI usage charges, overage charges, hardware setup or lease fees, integration fees, and third-party fees unless an order form states otherwise.
8. Disclaimers
The Services are provided for business intelligence and operational decision support. CountRetail does not guarantee sales outcomes, traffic outcomes, conversion outcomes, campaign performance, inventory performance, market timing, product sell-through, or financial results. Dashboards, benchmarks, forecasts, and recommendations are based on available data and should be reviewed for accuracy and context.
9. Limitation of Liability
To the maximum extent permitted by law, CountRetail will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, lost data, business interruption, or substitute services, arising out of or relating to the Services. CountRetail's aggregate liability will not exceed the amounts paid by Customer for the Services giving rise to the claim during the twelve months before the event giving rise to liability, unless a separate written agreement states otherwise.
10. Governing Law and Contact

CountRetail Privacy Policy
This Privacy Policy explains how Jewelry Sales Academy LLC d/b/a CountRetail collects, uses, discloses, and protects information in connection with our websites, applications, analytics dashboards, Vision AI services, webchat, AI features, integrations, and related services.
1. Information We Collect
We may collect account information, company information, billing metadata, location information, login and permission data, POS and transaction data, product and inventory movement data, invoice and photo uploads, traffic and zone analytics, camera-feed telemetry, marketing and campaign data, webchat and communication data, AI prompts and outputs, usage logs, device data, and support communications.
2. How We Use Information
We use information to provide, operate, support, secure, and improve CountRetail; manage accounts, authentication, permissions, billing, and subscriptions; provide traffic analytics, marketing attribution, POS reporting, inventory signals, buyer planning, AI assistance, webchat, and integrations; prevent fraud and misuse; debug and monitor performance; comply with law; and enforce our terms.
3. AI and Product Improvement
We may use usage data, aggregated data, de-identified data, feedback, evaluation data, and non-identifying telemetry to improve CountRetail services and AI features. We do not use retailer customer data containing personal information to train shared or generally available CountRetail AI models unless the customer has expressly authorized that use in writing.
4. How We Disclose Information
We may disclose information to cloud hosting, database, infrastructure, analytics, messaging, AI, transcription, security, billing, customer support, POS integration, camera and networking, professional advisor, legal, and compliance providers as needed to provide and support the Services. We do not sell retailer customer lists.
5. Privacy Rights
Depending on where you live, you may have rights to request access, correction, deletion, portability, restriction, objection, opt-out of certain processing, or non-discrimination. If your information is processed by CountRetail on behalf of a retailer, we may refer your request to that retailer. To submit a privacy request, contact support@countretail.com.
6. Retention and Security
We retain information for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, maintain security, enforce agreements, support business operations, and meet legitimate business needs. We use commercially reasonable safeguards, but no system, transmission, vendor, AI provider, or storage environment can be guaranteed to be perfectly secure.

Data Processing Addendum
This Data Processing Addendum supplements the CountRetail Master Terms and applies to CountRetail's processing of personal information in Customer Data.
1. Roles and Instructions
For customer, employee, lead, visitor, and other personal information processed on behalf of Customer, Customer is the controller, business, or equivalent entity, and CountRetail is the processor, service provider, contractor, or equivalent entity. Customer instructs CountRetail to process Customer Data to provide, secure, support, maintain, analyze, and improve the Services.
2. Categories of Data
Customer Data may include account users, sales associates, store visitors, leads, customers, product records, invoices, photos, transactions, traffic analytics, location data, campaign data, support data, communication metadata, AI prompts and outputs, and integration metadata.
3. Subprocessors and Security
Customer authorizes CountRetail to use subprocessors to provide the Services. CountRetail will impose commercially reasonable data protection obligations on subprocessors that process Customer Data and will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data in CountRetail's possession.

Acceptable Use Policy
Customers and users must not use CountRetail to violate law, infringe rights, deceive consumers, interfere with systems, probe or attack networks, bypass security controls, transmit malware, harvest data without permission, submit prohibited sensitive data, or use AI features to create unlawful, misleading, discriminatory, or harmful outputs.
CountRetail may investigate suspected violations and may suspend or limit access where activity creates legal, security, operational, carrier, platform, reputational, or customer harm.

SMS/MMS and Webchat Terms
CountRetail may provide webchat, SMS/MMS, email, or related communication features directly or through integrated providers. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out where supported and HELP for help where supported.
Customers are responsible for the content, timing, recipients, consent, opt-out handling, and compliance of communications sent or managed through the Services, including compliance with TCPA, CAN-SPAM, state privacy and telemarketing laws, carrier rules, CTIA guidelines, and applicable platform policies.

AI Features Addendum
AI features are assistive tools for analytics, reporting, product-fit evaluation, traffic insights, marketing summaries, predicted aging, trend analysis, and workflow support. AI outputs may be inaccurate, incomplete, duplicative, non-compliant, or unsuitable for a particular business use.
Customers are responsible for reviewing and approving AI outputs before relying on them. Customers must not use AI features to deceive consumers, make unlawful claims, impersonate individuals, make automated high-impact decisions without required human review, or provide regulated professional advice.

Subprocessors
CountRetail may use cloud hosting, database, infrastructure, observability, communications, AI, transcription, payment, support, analytics, email, POS integration, camera and networking, and security providers to operate and support the Services.
This mock legal center is structured so the final subprocessor list can be expanded with named vendors, processing purposes, and locations once vendor review is complete.

Security Overview
CountRetail uses commercially reasonable safeguards designed to protect Customer Data, including role-based access, encrypted transport, managed cloud infrastructure, logging, least-privilege operational practices, and incident response procedures. Customers remain responsible for store networks, camera and local hardware security, POS permissions, connected accounts, user offboarding, device security, and internal privacy practices.
CountRetail's Vision Box deployment is designed to keep feed data in store while sending analytics to the dashboard. Cloud vision deployments are designed for faster onboarding where a managed cloud feed path is selected by the customer.
